Sam Basile focuses his practice on gaming, resort
hotel and business transactional law having represented several
Las Vegas and Laughlin, Nevada casino resorts, a tribal gaming operator,
international gaming manufacturers and distributors, a slot-route
operator, a race information disseminator, a live pari-mutuel broadcast
disseminator and a pari-mutuel systems operator in the areas of
regulatory compliance, licensure, tribal gaming and business transactions.
Sam brings a substantial in-house gaming experience
including his role as Vice President - General Counsel for such
gaming companies as Aristocrat Technologies (interim), Gaughan Gaming,
Las Vegas Dissemination Company, and The Regent - Las Vegas and
his role as Associate General Counsel at Mirage Resorts, Incorporated.
While head of these legal departments, he was responsible for supervising
all legal functions as well as compliance, intellectual property,
litigation, employment, administrative and corporate governance
activities. Prior to going in-house, Sam was in private practice
where he represented public and private companies and individual
clients on gaming, administrative law, litigation, real estate and
zoning related matters.
Given his fifteen-plus years of in-house experience,
Sam considers himself a business entrepreneur who practices law.
As such, he brings a fresh, business-oriented and innovative problem
solving approach to every matter.

Gaming Law and Governmental Affairs

Negotiated renewal of exclusive five-year
pari-mutuel services agreement with the Nevada Pari-Mutuel
Association and its eighty plus member Nevada race-book operators.

Instrumental in the issuance of a pre-opening
agreement with the National Indian Gaming Commission leading
to the licensing and opening of a new class III tribal casino
in Northern Oklahoma within six months of execution of a closure
order by the Federal commission.

Obtained Management Contractor approval from
the National Indian Gaming Commission.

Negotiated, drafted and closed an $80 Million
exchange sale of all assets of a Las Vegas resort under Section
363 of the Bankruptcy Code and Section 351 of the Internal
Revenue Code.

Negotiated, drafted, executed and supervised
an interim gaming operation lease for a Las Vegas resort.

Drafted and obtained approval of a casino-changeover
plan and a chips and tokens redemption plan with Nevada State
Gaming Control Board.

Negotiated and drafted joint development
and license agreements between gaming manufacturers, entertainment
companies and gaming software developers.

Advised, developed and implemented corporate
reorganization and restructure which mitigated exposure to
potential employment-related claims and threatened litigation.

Drafted and implemented internal regulatory
gaming compliance programs accepted by the Nevada Gaming Control
Board and the National Indian Gaming Commission.

Glenn Wichinsky is a second generation gaming executive and currently
acts as Corporate Counsel for BMM Testlabs in Las Vegas, Nevada
in addition to representing other corporate gaming clients through
his private practice located in Las Vegas, Nevada and Boca Raton, Florida.
He received his undergraduate education while attending the University
of Miami in Coral Gables, Florida and earned a Bachelor of Arts
degree in Political Science, while on a music scholarship. He
then pursued his legal studies and earned his Juris Doctor degree
from the University of the Pacific, McGeorge School of Law in
Sacramento, California. While engaged in legal studies, Glenn
served as a Legislative Assistant to the Majority Floor Leader
of the California State Assembly, Assemblyman Mike Roos, and as
a Law Clerk for the Honorable Eugene Gualco, Presiding Judge of
the Sacramento County Superior Court.
Glenn maintained a private legal practice in Las Vegas and South
Florida for 18 years specializing in domestic and international
business transactions, joint ventures and gaming law and regulation
before entering corporate gaming and legal affairs in 2000. He
served as President of Global Gaming and Technology, Inc., a Las
Vegas based public gaming company; President, Director and General
Counsel of Virtgame Corporation, a San Diego based public gaming
company, General Counsel and Compliance Officer for Quest Entertainment,
a private gaming company based in Houston, Texas; and as a Member
of the Executive Management Committee of Revive Partners, LLC,
a gaming division and affiliate of the Mandalay Resort Group.
In addition to his professional experience, Glenn was a General
Partner in the Mardi Gras Casino in Las Vegas for over 20 years
and also was managing partner of the Regency Casino in Laughlin,
Nevada. He authored, presented and had published one of the early
recognized gaming studies entitled “Legalized Gambling as
a Means of Solving Some Fiscal Urban Problems” in 1975.
Glenn is also recognized in Who’s Who in American Law, Who’s
Who of Emerging Leaders in America, and Who’s Who in America.
Glenn is a member of the State Bar of Nevada, the Gaming Law
Committee of the State Bar of Nevada, the Florida Bar Association
and an Affiliate Member of the International Masters of Gaming
Law. He has been granted numerous nonrestricted gaming licenses
by the State of Nevada Gaming Control Board and Nevada Gaming
Commission, and has also been granted a key gaming license by
the Colorado Division of Gaming. |
